Current Bylaws

Introduction
- Chapter bylaws were most recently revised five years ago in May 2006.
- A bylaws committee under Torrey Young’s guidance began reviewing our bylaws with an eye to addressing some comments and suggestions which we had received.
FY 2010-11
- Recent changes made to the International Society of Arboriculture’s bylaws caused WCISA to fast-track our bylaws work to realign us with ISA.
- During the Summer/Autumn of 2010, our committee reviewed current information and focused on the three areas set out below.
- We brought suggested language to the Board Meeting scheduled on November 19, 2010. After discussion, our Board of Directors voted to send the revisions out to the membership on the next ballot.
- Those proposed bylaws revisions were approved by membership vote this Spring.
Areas of Changes
| Area 1 |
Changes in ISA’s governance require changes in our bylaws. Our bylaw amendments adopted language largely provided by ISA to come into compliance with its new governance structure. |
| Area 2 |
2006 bylaws made no provisions for electronic voting. Our revised bylaws explicitly allow for members to vote electronically in officer elections and for other business brought before the membership (most likely bylaws changes). |
| Area 3 |
Miscellaneous administrative/clerical items re-worded, resulting in better alignment with how our Chapter is actually operating.
Now our bylaws allow wordsmithing, correction of spelling, and alignment with operational realities – reflecting how WCISA without changing the intent of any bylaw without the required approval by the members.
Changes in this area now include our Secretary as a member of our Board of Directors, our Finance Committee combines the roles of our prior Auditing and Budget Committees, and our Awards Committee has been updated.

Policy and Procedures Manual
In order to standardize policies and procedures for WCISA activities, the 1996-97 WCISA Board developed a complete Policies and Procedures manual. In 2002, these policies and procedures were reviewed and revised.

Executive Committee Minutes
Meetings of the Executive Committee and/or Board of Directors shall follow the rules contained in the most current edition of "Robert's Rules of Order", and/or any additional or modified rules of order enacted by the Board, the WCISA or the ISA, at the discretion of the current Board. Following approval at the subsequent Executive Committee meeting, board minutes will be available for reference by the general membership. Downloaded copies are available below:
